Terms & Conditions

Last updated: 8 September 2026

1. Who you are contracting with

Paidly ("the Service") is provided by Paidly Flow team ("we", "us", "our"), based in Estonia. By creating an account or continuing to use the Service, you agree to these Terms & Conditions. If you use Paidly on behalf of an organisation, you confirm you have authority to bind that organisation; if you use it as an individual, you confirm you are of legal age.

2. The Service

Paidly helps agencies track outstanding and overdue invoices, record blockers, payment promises and payments, and prepare follow-up messages to their own clients. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected.

3. Your account

  • Keep your login credentials confidential; you are responsible for activity under your account.
  • Provide accurate account and billing information and keep it up to date.
  • You are responsible for the accuracy and lawfulness of the client data you enter.

4. Acceptable use

You must not misuse the Service. In particular, you must not:

  • use the Service for any unlawful purpose, including harassment or unlawful debt collection practices;
  • use it for fraud, spam or unsolicited bulk messaging;
  • infringe the intellectual property or privacy rights of others;
  • interfere with the security or integrity of the Service, including malware, probing, penetration testing without consent, or scraping;
  • reverse engineer, resell or redistribute the Service, or circumvent technical or plan limits.

Follow-up messages prepared in Paidly are drafts. You review, approve and are solely responsible for anything you send to your clients.

5. Your content

You retain ownership of the client, invoice and message data you enter. You grant us a limited licence to host and process that content solely to provide and support the Service.

6. Intellectual property

We retain all ownership of the Service and its intellectual property, including the software, documentation, design and branding. Nothing in these terms transfers those rights to you.

7. Service level

We work to keep Paidly available and reliable, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Payments, subscriptions and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically for the selected billing period until cancelled. Upgrades take effect immediately and are prorated; downgrades take effect at the next renewal. Current prices are shown on our pricing page, and refunds are described in our refund policy.

9. Suspension and termination

We may suspend or terminate access where there is:

  • a material breach of these terms;
  • non-payment of fees due;
  • a security or fraud risk;
  • repeated or serious violations of our acceptable use rules.

You may stop using the Service at any time. When access ends you may export your data for 30 days, after which it may be deleted.

10. Liability

To the fullest extent permitted by law, our aggregate liability is limited to the fees you paid in the 12 months before the claim. We exclude liability for indirect, consequential or special damages, including loss of profits, data or goodwill. Nothing excludes liability for fraud, death or personal injury where the law does not allow it.

You indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these terms.

11. General

These terms are governed by the laws of Estonia, and disputes are subject to the courts of Estonia. You may not assign these terms without our consent; we may assign them in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control.

12. Contact

Questions about these terms: Paidly Flow team, support@paidlyflow.com. Billing and refund requests are handled by Paddle at paddle.net.
